Terms of Service

By accessing or using the Serene mobile application ("App") and website ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Serene Health, Inc. ("Serene," "we," "us," or "our"). We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service following any modifications indicates your acceptance of the modified Terms.

You must be at least 13 years old to use the Service. If you are under 18, you must have your parent or guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

The Service is not intended for use in jurisdictions where such use would be prohibited by law. You are responsible for ensuring your use of the Service complies with all applicable laws and regulations.

To access certain features of the Service, you must create an account. When creating an account, you agree to:

- Provide accurate, current, and complete information - Maintain and promptly update your account information - Maintain the security of your password and account - Accept responsibility for all activities that occur under your account - Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

**Free Tier** Serene offers a free tier with limited features. Free accounts may be subject to usage limitations.

**Premium Subscription** Premium features require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.

**Billing** - Subscriptions automatically renew unless cancelled before the renewal date - You authorize us to charge your payment method for recurring fees - Prices may change with 30 days' notice

**Cancellation** - You may cancel your subscription at any time through the App or your app store account - Cancellation takes effect at the end of the current billing period - No refunds are provided for partial billing periods

**Refunds** Refund requests are handled according to the policies of your app store (Apple App Store or Google Play Store).

You agree not to use the Service to:

- Violate any applicable law or regulation - Infringe the rights of any third party - Upload or transmit viruses or malicious code - Attempt to gain unauthorized access to the Service - Interfere with or disrupt the Service - Collect user information without consent - Use the Service for any commercial purpose without authorization - Create multiple accounts to abuse promotions or features - Reverse engineer or attempt to extract source code - Use automated systems to access the Service without permission

We reserve the right to investigate and take appropriate action against anyone who violates these provisions.

**Your Content** You retain ownership of content you submit to the Service ("User Content"). By submitting User Content, you grant Serene a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of providing the Service.

**Content Standards** User Content must not: - Be illegal, harmful, or offensive - Infringe intellectual property rights - Contain personal information of others without consent - Be false, misleading, or deceptive - Contain spam or unauthorized advertising

**Content Removal** We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

**Not Medical Advice** THE SERVICE IS NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.

**No Doctor-Patient Relationship** Use of the Service does not create a doctor-patient or therapist-patient relationship between you and Serene or any of its employees, contractors, or partners.

**Emergency Situations** If you think you may have a medical emergency, call your doctor or emergency services immediately. Do not rely on the Service for emergency medical needs.

**Fitness for Purpose** The Service provides general wellness information and tracking tools. Individual results may vary, and we make no guarantees about specific health outcomes.

**Our Intellectual Property** The Service and its original content, features, and functionality are owned by Serene and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

**Trademarks** "Serene," the Serene logo, and other Serene marks are trademarks of Serene Health, Inc. You may not use these marks without our prior written permission.

**Feedback** If you provide feedback or suggestions about the Service, you grant us the right to use such feedback without restriction or compensation to you.

**By You** You may terminate your account at any time by deleting your account through the App settings or by contacting us.

**By Us** We may suspend or terminate your access to the Service immediately, without prior notice, for any reason, including: - Violation of these Terms - Fraudulent or illegal activity - Non-payment of fees - Extended periods of inactivity

**Effect of Termination** Upon termination: - Your right to use the Service ceases immediately - We may delete your account and data (subject to our data retention policies) - Provisions that by their nature should survive termination will survive

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: - The Service will be uninterrupted or error-free - Defects will be corrected - The Service is free of viruses or harmful components - The results from using the Service will meet your requirements

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERENE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.
